TERMS OF SERVICE

Agreement Scope
This agreement governs access to and use of AXIOM platform services ("Platform"). Platform access constitutes acceptance of these terms. Non-acceptance requires immediate cessation of Platform use.
Agreement applies to all users: administrators, operators, auditors, and third-party integrations accessing Platform functionality.
Service Definition
AXIOM provides operational governance software-as-a-service including:
- •VECTOR: Fleet governance and compliance enforcement
- •OCULUS: Site intelligence and hazard detection (roadmap)
- CODEX: Workforce standards and certification enforcement (roadmap)
Service Availability: Platform operational status and scheduled maintenance windows available via status.axiom.com. Target uptime: 99.9% excluding scheduled maintenance.
Account Registration Protocol
Platform access requires authorized account initialization. Account holder responsibilities:
Acceptable Use Policy
PROHIBITED ACTIVITIES:
- ✕Unauthorized access attempts or security protocol circumvention
- ✕Platform modification, reverse engineering, or derivative work creation
- ✕Malicious code injection or system integrity compromise
- ✕Excessive API calls or resource consumption beyond allocated limits
- ✕Data scraping, automated extraction, or unauthorized third-party access
- ✕Illegal activity, harassment, or violation of third-party rights
Violation Consequences: Policy violations result in immediate account suspension, service termination without refund, and legal action where applicable. No warning period for security-critical violations.
Intellectual Property Rights
Platform Ownership: AXIOM retains all rights, title, and interest in Platform software, documentation, trademarks, and trade secrets. License granted is limited, non-exclusive, non-transferable, and revocable.
User Data Ownership: Users retain ownership of operational data input into Platform. AXIOM receives limited license to process, store, and analyze user data for service provision and improvement.
Feedback Rights: User-provided feedback, suggestions, or feature requests become AXIOM property without compensation obligation.
Payment Terms
Subscription fees charged per contracted billing period (monthly, annual, or custom). Payment due within 30 days of invoice generation. Late payments subject to 1.5% monthly interest charge.
Resource consumption exceeding contracted limits billed at published overage rates. Overage charges calculated monthly and added to subsequent invoice.
No refunds for partial billing periods. Service termination requires 30-day written notice. Fees for notice period non-refundable regardless of Platform usage.
AXIOM reserves right to modify pricing with 90-day advance notice. Continued use after notice period constitutes acceptance of new pricing structure.
Service Level Agreement
SLA credits issued for uptime failures per contracted service level. Credit calculation methodology and claim procedures documented in Master Service Agreement.
Data Security & Compliance
AXIOM implements industry-standard security controls:
- Data encryption at rest (AES-256) and in transit (TLS 1.3)
- Role-based access control with multi-factor authentication
- ISO 27001 and SOC 2 Type II compliance certification
- Regular penetration testing and security audits
- 24/7 security monitoring and incident response
Users responsible for maintaining security of their systems accessing Platform. AXIOM not liable for breaches resulting from user credential compromise or endpoint security failures.
Limitation of Liability
PLATFORM PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
AXIOM not liable for: indirect, incidental, consequential, or punitive damages; loss of profits, data, or business opportunity; service interruptions or data loss; third-party actions or integration failures; force majeure events.
Total liability cap: Fees paid by user in 12 months preceding claim. This limitation applies regardless of legal theory (contract, tort, strict liability) and even if AXIOM advised of damage possibility.
Some jurisdictions prohibit liability exclusions. In such cases, liability limited to maximum extent permitted by applicable law.
Termination Protocol
User Termination: Submit written notice 30 days before desired termination date. Fees for notice period remain due. Data export available during notice period via Platform export functionality.
AXIOM Termination: Immediate termination authorized for material breach, non-payment beyond 60 days, or illegal activity. Advance notice provided for convenience termination (90 days minimum).
Post-Termination: Platform access revoked immediately upon termination effective date. User data retained for 90 days per data retention policy, then purged unless legal holds apply.
Modification Rights
AXIOM reserves right to modify these terms as operational requirements or legal obligations demand. Material changes communicated via registered email 30 days prior to implementation. Continued Platform use after notice period constitutes acceptance of modified terms.

Dispute Resolution
Agreement governed by laws of Delaware, United States, excluding conflict of law provisions. United Nations Convention on Contracts for International Sale of Goods does not apply.
Disputes resolved through binding arbitration under American Arbitration Association Commercial Rules. Arbitration conducted in Delaware. No class action permitted.
AXIOM may seek injunctive relief in court for intellectual property violations or confidentiality breaches. Small claims court available for claims within jurisdictional limits.
